Designer & Trade Professional Policy

For interior designers, architects, stagers, and other trade professionals.

Effective Date: 09-15-2026

This Designer & Trade Professional Policy (“Designer Policy”) establishes the terms and conditions applicable to qualified interior designers, decorators, architects, home stagers, design firms, and other approved trade professionals (“Designer” or “Trade Professional”) purchasing products from Whiteline Modern Living (“Whiteline”).

Participation in Whiteline’s Designer/Trade Program is subject to approval and continued compliance with this Policy and Whiteline’s applicable Terms & Conditions.

1. ELIGIBILITY & ACCOUNT APPROVAL

Whiteline’s Designer/Trade Program is available to qualified professionals actively engaged in the interior design, architecture, decorating, staging, hospitality, development, or related design industries.

Whiteline may request documentation to verify professional status, including:

  • Business license or registration

  • Resale certificate, if applicable

  • Professional website or portfolio

  • Business social media account

  • Professional certification or membership

  • Business card or company information

  • Other reasonable documentation establishing professional activity

Approval is at Whiteline’s discretion.

Designer accounts and benefits are intended solely for the approved Designer or company and may not be transferred, shared, or used by unauthorized third parties.

2. DESIGNER / TRADE PRICING

Approved Designers may receive special Designer or Trade pricing established by Whiteline.

Pricing may vary depending on:

  • Product

  • Collection

  • Order quantity

  • Project size

  • Promotional status

  • Availability

  • Special-order requirements

  • Manufacturer or supplier restrictions

Designer pricing is confidential and is intended exclusively for the approved Designer.

Designer discounts cannot be combined with other promotions, discounts, coupons, clearance pricing, special programs, or negotiated pricing unless specifically approved by Whiteline in writing.

Whiteline reserves the right to modify Designer pricing or discount structures at any time.

3. QUOTES & PROJECT PRICING

Designers may request written quotations for individual products, multiple-room projects, hospitality projects, model homes, developments, or other qualifying projects.

Unless otherwise stated on the quotation, pricing is subject to change prior to order confirmation.

Large-volume or project quotations may contain separate expiration dates, deposit requirements, freight assumptions, lead times, or other project-specific conditions.

A quotation does not reserve inventory.

Inventory is reserved only after Whiteline confirms the order and any required payment or deposit has been received.

4. RESALE & MAP POLICY

Designers and Trade Professionals purchasing Whiteline products for use in their clients’ projects may establish their own design fees and may invoice their clients according to their own business practices, subject to applicable law.

However, if a Designer or Trade Professional publicly advertises, promotes, offers, or sells Whiteline products through a website, e-commerce store, social media storefront, physical retail operation, or other public sales channel, the account may be subject to Whiteline’s applicable Minimum Advertised Price (MAP) Policy and Retailer Policies.

Designers and Trade Professionals who sell Whiteline products online through their own website or any other online sales channel are required to open a separate Retailer/Online account and sign Whiteline’s Online Retailer Policy. Failure to establish the appropriate account or comply with the applicable policies may result in suspension or termination of purchasing privileges.

Designer or Trade Professional status does not automatically authorize an account to operate as an online retailer, e-commerce seller, or marketplace seller of Whiteline products.

The sale, listing, or offering of Whiteline products on third-party marketplaces, including but not limited to Amazon, Walmart, Wayfair, Houzz, eBay, or similar platforms, requires Whiteline’s prior written authorization.

5. PRODUCT INFORMATION

Whiteline makes reasonable efforts to provide accurate product descriptions, dimensions, materials, colors, photographs, and specifications.

However, furniture may have reasonable variations in:

  • Color

  • Grain

  • Texture

  • Veining

  • Finish

  • Fabric

  • Leather

  • Stone

  • Marble

  • Wood

  • Dimensions

  • Hand-applied finishes

Natural materials inherently vary from piece to piece.

Computer screens, photography, lighting, and environmental conditions may also affect the appearance of colors and finishes.

Designers are responsible for reviewing product specifications and determining suitability for their projects before ordering.

6. MEASUREMENTS & SITE CONDITIONS

The Designer is responsible for verifying all dimensions and site conditions before placing an order.

This includes, where applicable:

  • Doorways

  • Elevators

  • Hallways

  • Stairways

  • Ceiling heights

  • Loading areas

  • Installation areas

  • Room dimensions

  • Building restrictions

  • Delivery access

Whiteline is not responsible for products that cannot be delivered, moved into, assembled within, or installed at the intended location because of access restrictions or incorrect measurements.

7. PRODUCT AVAILABILITY

Inventory availability may change without notice.

Products shown as available are not guaranteed until the order is confirmed by Whiteline.

Whiteline may discontinue products, finishes, fabrics, sizes, or collections at any time.

If an item becomes unavailable after an order is placed, Whiteline will communicate available options when reasonably possible.

8. PAYMENT TERMS

Unless Whiteline has approved credit terms in writing, orders are payable according to the payment requirements stated on Whiteline’s invoice, quotation, or order confirmation.

Whiteline’s preferred payment methods include:

  • ACH

  • Wire transfer

  • Company check, subject to approval

  • Zelle, when available

Credit card payments are subject to a 3% processing fee, to the extent permitted by applicable law.

Credit terms, including Net 15, Net 30, or other arrangements, apply only when specifically approved by Whiteline in writing.

Whiteline may modify or withdraw credit privileges based on payment history, creditworthiness, account activity, or other legitimate business considerations.

Past-due accounts may be placed on credit hold, and Whiteline may withhold processing, release, or shipment of additional orders until the account is brought current.

Any account remaining past due for more than 15 days may incur a late fee equal to $25 or 1% per month of the outstanding balance, whichever is greater, to the extent permitted by applicable law.

The Designer is responsible for reasonable collection costs and other amounts recoverable under applicable law arising from delinquent balances.

9. SALES TAX & RESALE CERTIFICATES

Applicable sales tax will be charged unless Whiteline has a valid and acceptable resale certificate or exemption documentation on file.

The Designer is responsible for providing accurate and current tax documentation.

Providing a resale certificate does not automatically make every transaction tax-exempt. The Designer remains responsible for determining whether a purchase qualifies for resale or exemption under applicable law.

The Designer is responsible for any taxes, penalties, or liabilities resulting from improper use of its resale certificate.

10. DEPOSITS & SPECIAL ORDERS

Whiteline may require a deposit for:

  • Special orders

  • Custom orders

  • Large-volume purchases

  • Container orders

  • Reserved inventory

  • Products specifically ordered or held for a Designer or project

Unless Whiteline agrees otherwise in writing, deposits for special orders, custom orders, or inventory specifically reserved or ordered for a project are non-refundable.

Once production, procurement, reservation, or fulfillment has begun, the order may not be canceled or modified except with Whiteline’s written approval.

11. ORDER CHANGES

Order changes must be requested in writing.

No order may be changed less than 24 hours before its scheduled shipment or pickup date and time.

An order change is valid only after Whiteline provides written confirmation approving the change.

A request submitted by the Designer does not constitute approval.

Orders that have already shipped, been released to a carrier, or otherwise entered final fulfillment cannot be changed or modified.

Additional charges resulting from an approved change are the Designer’s responsibility.

12. ORDER CANCELLATIONS

No order may be canceled less than 48 hours before its scheduled shipment or pickup.

An order may generally be canceled within 24 hours of being placed only if it has not already been shipped, fulfilled, processed for shipment, or specially ordered.

Prepaid orders are non-refundable. When Whiteline approves a cancellation, amounts previously paid may be issued as an account credit for future purchases, subject to the terms of the approved cancellation.

Deposits paid on special orders, custom orders, or inventory held specifically for a Designer or project are non-refundable.

13. BACKORDERS

Products that are temporarily unavailable may be placed on backorder when available.

Estimated availability dates are estimates only and may change because of manufacturing, transportation, customs, port, carrier, supply-chain, or other circumstances.

Whiteline does not guarantee estimated arrival dates unless specifically agreed in writing.

Designers should not schedule installers, contractors, photography, events, client move-ins, or other project activities based solely on estimated product arrival dates.

14. PICKUP

Approved orders may be picked up from Whiteline’s warehouse during designated pickup hours.

Current standard pickup windows are:

Monday–Friday

Morning: 9:00 AM–12:00 PM
Warehouse Lunch Break: 12:00 PM–1:00 PM
Afternoon: 1:00 PM–4:00 PM

Pickup appointments are required.

The Designer or its carrier is responsible for arriving with an appropriate vehicle, equipment, personnel, blankets, straps, and other materials necessary to safely transport the merchandise.

Risk associated with transportation after pickup transfers in accordance with Whiteline’s applicable sales and shipping terms.

15. SHIPPING & DELIVERY

Unless otherwise specifically agreed in writing, Designers are responsible for arranging transportation of their orders.

If Whiteline assists with coordinating freight or delivery, any freight quote may be subject to carrier availability, fuel charges, accessorial charges, residential fees, appointment fees, liftgate charges, redelivery charges, storage charges, detention, reconsignment, or other carrier-imposed charges.

Designers are responsible for providing complete and accurate delivery information.

Additional charges resulting from inaccurate addresses, inaccessible locations, missed appointments, refused deliveries, or other circumstances attributable to the Designer or its client may be charged to the Designer.

16. RECEIVING & INSPECTION

All merchandise should be inspected promptly upon receipt.

Before signing a delivery receipt, the receiving party should inspect the shipment for visible damage, shortages, crushed cartons, punctures, tears, or other irregularities.

Any visible damage or shortage should be clearly noted on the carrier’s delivery receipt or Proof of Delivery (POD).

Signing a delivery receipt without noting visible damage may affect the ability to pursue a freight claim.

The Designer is responsible for ensuring that its client, receiver, warehouse, installer, or other authorized recipient understands these receiving requirements.

17. DAMAGE & CLAIMS

All damage, defect, shortage, incorrect-item, or shipping claims must be submitted according to Whiteline’s current Claims Policy and within the applicable claim period.

Claims should include, as applicable:

  • Whiteline invoice or order number

  • Product SKU

  • Quantity affected

  • Description of the issue

  • Photographs of the product

  • Photographs of the packaging

  • Photographs of carton labels

  • Photographs showing the overall product

  • Delivery receipt/POD when applicable

Merchandise should not be discarded, repaired, returned, or altered before Whiteline reviews the claim unless Whiteline provides written authorization.

Submitting a claim does not automatically authorize a return, refund, replacement, repair, or credit.

18. RETURNS

All returns are governed by Whiteline’s current Return Policy.

No merchandise may be returned without Whiteline’s prior written authorization and, when applicable, a Return Merchandise Authorization (RMA).

Unauthorized returns may be refused.

Approved returns may be subject to restocking fees, return freight charges, inspection, and other conditions established under Whiteline’s Return Policy.

Special-order, custom-order, clearance, final-sale, discontinued, assembled, used, installed, altered, damaged-after-delivery, or otherwise designated non-returnable merchandise may not qualify for return.

19. WARRANTY

Products are covered only by the warranty applicable to the particular product or collection.

Warranty coverage does not extend to damage resulting from improper handling, transportation, storage, assembly, installation, misuse, abuse, commercial use where not approved, environmental exposure, improper maintenance, normal wear and tear, or unauthorized repair or modification.

Natural variations in wood, stone, marble, leather, fabrics, finishes, and other natural materials are generally not considered manufacturing defects.

20. CLIENT RELATIONSHIP

The Designer is an independent business and is not an employee, agent, franchisee, partner, or representative of Whiteline.

The Designer is responsible for its own relationship with its clients, including:

  • Design services

  • Design fees

  • Client quotations

  • Markups

  • Installation

  • Project management

  • Client communications

  • Measurements

  • Site preparation

  • Contractor coordination

Whiteline is not responsible for agreements or representations made by a Designer to its clients unless Whiteline expressly authorized those representations in writing.

21. CLIENT DIRECT COMMUNICATION

Whiteline respects the Designer-client relationship.

When reasonably possible, project-related communication will be handled through the Designer who placed the order.

However, Whiteline may communicate directly with the Designer’s client, receiver, carrier, installer, warehouse, or other designated party when reasonably necessary to coordinate delivery, pickup, claims, service, payment authorization, or other order-related matters.

22. PRODUCT IMAGES & MARKETING MATERIALS

Approved Designers may use Whiteline-provided product images and product information for legitimate presentations, proposals, mood boards, and client projects.

Whiteline trademarks, logos, copyrighted images, product photography, catalogs, and other intellectual property remain the property of Whiteline or their respective owners.

Whiteline materials may not be altered or used in a misleading manner or in a way that suggests an unauthorized affiliation, partnership, endorsement, or dealership.

Public advertising or online resale may be subject to separate authorization and Whiteline’s MAP and Retailer Policies.

23. CONFIDENTIALITY OF TRADE INFORMATION

Designer pricing, wholesale pricing, dealer pricing, unpublished price lists, special quotations, internal product information, and other non-public commercial information provided by Whiteline are confidential.

Designers may provide their own quotations or invoices to their clients but may not publicly distribute Whiteline’s confidential trade price lists or account-specific pricing.

24. ACCOUNT ACTIVITY & MISUSE

Whiteline reserves the right to review Designer accounts periodically.

Designer privileges may be suspended, modified, or terminated for reasons including:

  • Misrepresentation of professional status

  • Unauthorized sharing of Designer pricing

  • Unauthorized marketplace selling

  • MAP violations when applicable

  • Payment delinquency

  • Fraudulent activity

  • Abuse of return or claim procedures

  • Misuse of resale certificates

  • Sharing account credentials

  • Conduct inconsistent with Whiteline’s policies

Termination of Designer privileges does not eliminate any outstanding payment or contractual obligations.

25. POLICY CHANGES

Whiteline reserves the right to modify this Designer Policy, Designer pricing, program eligibility requirements, discounts, procedures, or benefits from time to time.

The version in effect at the time an order is accepted will generally govern that order unless otherwise stated in writing.

26. ACCEPTANCE OF TERMS

By participating in Whiteline’s Designer/Trade Program, submitting an order, accepting a quotation, paying an invoice or deposit, or purchasing merchandise under a Designer account, the Designer acknowledges and agrees to comply with this Policy and any additional terms applicable to the order.
